Production data corroborates validity of proposed cement takeover megadeal

The proposed takeover of majority shares of Tanga Cement by Twiga Cement will not create a cement behemoth that will monopolise the domestic market beyond the allowed threshold for fair competition as set about by regulations, analysis of production data of cement in Tanzania shows.

Of recent, there have been buzz and conflicting pro-merger and anti-merger comments from stakeholders and industry insiders that the transaction could threaten healthy competition in the country, a stance that has so far been liquidated by the Minister for Investment, Industry and Trade Dr. Ashantu Kijaji.

In an official speech to clear the air, Dr. Kijaji had made it clear that the government had conducted due diligence on the market effects of the acquisition application before green- lighting it, and concluded that an takeover was legal, a statement that is now empirically corroborate by market data.

According to production data available, Twiga Cement has an annual production of   2,100,000 metric tons, which translates to 19 percent market share. On the other hand, Tanga Cement churns out 1,200,000 metric tons yearly and controls 11 per cent of the market.

The combined output of the new corporate entity resulting from the proposed takeover will amount to 30 per cent share of the market, which is 5 percentage points below the 35-percent ceiling set by regulations, rending doubts from pessimists unfounded.

The takeover was jointly announced on October 2021 by Scancem International DA (Scancem), a subsidiary of Heidelberg Cement AG, which owns Twiga Cement, and AfriSam Mauritius Investment Holdings Limited, owner of Tanga Cement, that they had finalised the terms upon which the former would acquire 68.33 percent of shareholding in Tanga Cement.

The Sh137.33 billion megadeal, which had been under examination by the Fair Competition Commission (FCC) and the Tanzania Mining Commission (TMC), had stirred worries among operators in the industry who claim it would amount to breach Tanzania’s competition laws.

Examination of the statutory basis for controlling the size of market share of a company, enshrined in the Fair Competition Commission Act, 2018, Article 11(2) of the said Act’s regulations, and Article 1(2) - which set the criteria for merger- shows that the proposed application is within the law

Absa Dar City Marathon 2023 donates hospital equipment to Mnazi Mmoja Hospital

Dar Es Salaam, Wednesday, 17 May 2023 | Absa Dar City Marathon donated hospital equipment to Mnazi Mmoja Hospital in Dar es Salaam to support the government efforts to provide quality health services to all Tanzanians. This follows from the successful event that was held on 7 May 2023 in Dar es Salaam. The occasion was running in parallel with a blood donation campaign organized by the Club with the support of the marathon sponsors, partners, vendors, services providers and the general public.

The handover of the hospital equipment was attended by In-charge of Mnazi Mmoja Hospital, Dr. Delila Moshi, Ilala Municipal NCDs Coordinator, Dr. Milka Mathania, leaders and members of The Runners Club and representatives of the sponsors of the marathon, Absa Bank Tanzania Limited, Britam Insurance Tanzania Limited, Alliance Life Assurance Limited and Gardaworld Security Services Limited.

Speaking at the occasion, Dr. Delila expressed her gratitude to Absa Dar City Marathon for choosing Mnazi Mmoja Hospital as their preferred institution for their charitable donation and urged them to continue supporting the hospital in the coming marathons. She also praised The Runners Club blood donation campaign, informing that lack of adequate blood is one of the major challenges of the hospital which admits more than 200 expecting mothers in the maternity ward and attends to more than 400 children daily in their reproductive health clinic. On her side, the Ilala Municipal NCDs Coordinator, Dr. Milka advised that NCDs is one of the major challenges of public health in Dar es Salaam and urged The Runners Club to continue with this initiative for the greater benefit of the community.

The spokesperson of the Runners Club, Mr. Godfrey Mwangungulu informed the audience that Absa Dar City Marathon that was held on Sunday, 7 May 2023 at Mnazi Mmoja Grounds, Dar es Salaam was the 3rd edition and attracted more than 2,500 runners in the 21.1km, 10km and 5km race categories. Theme of the marathon was aligned with the Club’s vision of healthy lifestyles aiming at preventing non-communicable diseases (NCDs) through running and the donation of hospital equipment to Mnazi Mmoja Hospital NCDs Clinic was to fulfil that vision. The selection of Mnazi Mmoja Hospital was in line with the saying that charity begins at home given the close proximity of the hospital to Mnazi Mmoja Grounds, the venue of the marathon for the past three events.

The representative of Absa Bank Tanzania Limited, the main sponsors of the marathon, Mr. George Binde, said that Absa supports The Runners Club’s vision to prevent non-communicable diseases (NCDs) through running, and this was one of the main reasons for sponsoring the marathon, which included this charitable donation of hospital equipment. In addition, Absa motivates and promotes healthy lifestyles amongst its staff members and clients through the Absa Health Club. This donation is also aligned with our Citizenship agenda of being a force for good to our communities and play a major role in the society.

The saga of the sale of 68.33 percent of Tanga Cement PLC shares to Scancem International Da has continued to raise various arguments for some development stakeholders and others to the point of appealing to the High Court of Tanzania for fair competition.


The discussions have continued to emerge with 19 urgent appeals and some of the appealers once took the government to court and the plaintiffs were the only ones who were giving their arguments.


In those appeals that have been opened, neither Heidelberg / Twiga nor Tanga where all have already been dismissed by the court due to being untrue.


One clerk of the high court who did not want his name to be mentioned, said that he doubts that it is obvious that many of the complaints are copies of the previous ones that have already been submitted, thus raising doubts about these groups being the same, which are currently using other names.


It is also possible that these clandestine groups may lie to the FCT and in court and also launch other attacks through the media. Their campaign is deliberate and misinformation.


In addition, it should be noted that the Minister of Investment, Industry and Trade, Dr. Ashatu Kijaji, showed proof that Chalinze Cement apparently lied to the Business Registration and Licensing Agency (BRELA).


In that, it confirms that there are these dirty games that can bring great harm to the economy of our country that our leaders are fighting more to make Tanzania a sustainable economic country.


Our source has further emphasized that this step is worse because the image of the country in the eyes of international investors is getting worse due to their propaganda campaigns that mislead even the members of parliament some of whom have shown opposition to the sale of Tanga Cememt shares and thus continue to hurt the country's economy ours.

THOUGHTS OF STAKEHOLDERS ON INDUSTRY DEVELOPMENT IN THE COUNTRY

For some time now I have been following a company called Chalinze Cement and what I saw was funny. Did you know that this company does not own any land that can mine limestone for cement production? It also doesn't even have the branding they claim to have. They do not even import cement into the country through any of our ports in Tanzania.

The only thing I could find for citizens and users of cement products related to this company is a construction and paint store located in Kisutu in the Dar es Salaam region.

Nothing else! That's what happened when I asked about this group to defend consumers in the country, I didn't find the truth or anything about them.

 It doesn't have members, it doesn't have an office, and it doesn't even have a registration, so I wonder how they get the right to hinder their fellow Tanzanians from this huge investment of 500 million US dollars?

Let me ask my fellow writers for something, I challenge one of you to publish pictures of Chalinze Cement workers or a picture of their cement storage bag, even a picture of their limestone mining license.

Even if they have not started mining, publish that so that the people understand that they are investors in the country.

 The same goes for the Association for the Defense of Consumers in the country (TCAS). Explain the number of your members. What cases have they ever won while defending consumers in the country?

So I wonder... How come they have a chance to delay the investment of 500 million dollars between the Twiga company and Tanga Cement.

 A delay that lasted more than a year and a half? we Tanzanians, how much money could we save by having that money in our country?

I have heard rumors that they are trying to put a damper on this sale by causing more delays. But it is clear that the company Twiga and Tanga Cement will not stop at that.

Katika kukimbia tunajenga afya zetu, ili tuweze kufanya shughuli zetu, tuweze kuishi kwa muda mrefu, ni dhana mojawapo ambayo sisi Absa tunaiishi na ndio maana tukaungana na The Runners Club ili tuweze kuboresha maisha ya watanzania,” alisema Bwana Laiser.

Alisema Absa kama benki kongwe kuliko zote Tanzania ikitoa shughuli za kibenki tokea mwaka 1925 ni imani yao kwa kushirikiana na waandaaji wa mbio hizo, Klabu ya The Runners mbio hizo zitaendelea kukua na kufikia viwango vya Kimataifa.

Benki ya Absa yatoa sh milioni 45 kudhamini Absa Dar City Marathon

Mkuu wa Kitengo cha Masoko na Mawasiliano wa Benki ya Absa Tanzania, Aron Luhanga (wa pili kulia) akizungumza jijini Dar es Salaam leo wakati akitangaza udhamini wao wa shs milioni 45 katika mbio za Absa Dar City Marathon zinazotarajiwa kutimua vumbi jijini humo mei 7 mwaka huu. Wengine kutoka kulia ni Meneja Masoko wa Britam Insurance, Leoncia Makobo, Mkuu wa Kitengo cha Habari wa Klabu ya The Runners, Godfrey Mwangungulu, Meneja Masoko na Mauzo wa Kampuni wa Bima ya Alliance Life Assurance, Jawa Masomo na na Katibu wa The Runners, Scola Kisanga.
Mkuu wa Kitengo cha Habari wa Klabu ya The Runners, waandaaji wa Dar City Marathon ,Godfrey Mwangungulu (wa pili kulia), akizungumza katika hafla hiyo. Kulia ni Mkuu wa Masoko na Mawasiliano wa Benki ya Absa Tanzania, Aron Luhanga.
Mkuu wa Kitengo cha Masoko na Mawasiliano wa Benki ya Absa Tanzania, Aron Luhanga (kulia), Mkuu wa Kitengo cha Habari wa Klabu ya The Runners, Godfrey Mwangungulu, Meneja Masoko na Mauzo wa Kampuni wa Bima ya Alliance Life Assurance, Jawa Masomo, Meneja Masoko wa Britam Insurance, Leoncia Makobo na Katibu wa The Runners, Scola Kisanga, wakionyesha fulana zitakazovaliwa siku ya mbio za Absa Dar City Marathon zinazotarajiwa kufanyika Mei 6 jijini Dar es Salaam. Absa imetoa udhamini wa kiasi cha shs milioni 45. Hafla hiyo imefanyika jijini humo leo.

*'Ni kwa ajili ya kupambana na magonjwa yasiyoambukiza'*

WATANZANIA wameshauriwa kulinda afya zao Kwa kushiriki mbio na mazoezi ya viungo kwani afya ni mtaji muhimu katika shughuli za uzalishaji mali.

Ushauri huo umetolewa jijini Dar es Salaam na Mkuu wa Masoko na Mawasiliano wa Benki ya Absa Tanzania, Aron Luhanga wakati akizungumzia udhamini wa Absa katika mbio za kilomita 21 za Absa Dar City Marathon, zinazotarajiwa kutimua vumbi jijini humo jumapili wiki hii.

Bwana Aron alisema Benki ya Absa kwa kutambua kuwa afya ni mtaji mkubwa sana Kwa wafanyakazi, wateja na Kwa jamii ya watanzania na kuwa bila ya kuwa na afya njema shughuli za kiuchumi haziwezi kwenda kadri zinavyotakiwa benki yao imekubali kutoa udhamini wa mbio hizo wenye thamani ya shs milioni 45.

Kama Absa tunajisikia furaha sana kuungana na waandaaji wa Dar City Marathon tukiwa wadhamini wakuu wa mbio hizi tukitoa udhamini wa kiasi cha shs milioni 45 ambazo pia zikiwa na lengo la kuisaidia jamii kupambana na magonjwa yasiyo ya kuambukiza."

Natoa wito kwa watanzania, wateja wetu kujitokeza Kwa wingi kushiriki mbio hizi, mtu akiwa anafanya mazoezi akiwa anakimbia, anajenga afya na hapo hapo anapata utajiri wake."

Baada ya mbio hizi tutaungana na Runners Club kwenda katika Hospitali ya Mnazi Mmoja Ili kukabidhi vifaa vitakanyosaidia jamii wakiwemo watoto kupambana na magonjwa yasiyoambukiza”, alisema Bwana Aron.

Akizungumza Mkuu wa Kitengo cha Habari Klabu ya The Runners waandaaji wa mbio hizo, Godfrey Mwangungulu alitoa shukurani kwa Absa pamoja ma wadhanini wengine kwa kudhamini mbio hizo ambazo zaidi ya Watu 3000 watashiriki akisema pamoja mambo mengine zitasaidia kutangaza vivutio vya utalii vya Jiji la Dar es Salaam kwani zitapita katika mitaa mashuhuri ya jiji hilo.

Tunaungana na majiji mengine sehemu mbalimbali barani Afrika kuwa sehemu ya historia kwenda kutangaza vivutio mbalimbali vya utalii katika Jiji letu la Dar es Salaam, hii ikiwa ni mara ya kwanza kwa mbio hizi kufanyika katikati ya jiji, natoa wito kwa watu kujitokeza kwa wingi kwa pamoja na mbio hizo pia kuna burudani mbalimbali zimeandaliwa zitakazofanyika katika ziwanja vya Mnazi Mmoja jijini Dar es Salaam", alisema.

Mbio za Absa Dar City Marathon zitajumuisha mbio za kilomita 21, mbio za kilomita 10 na mbio za kujifurahisha za kilomita 5 ambazo zawadi mbalimbali zitatolewa zikiwemo pesa tasilimu kwa mshindi wa kwanza hadi wa 10 kwa wanawake na wanaume.
